Introduction

By downloading, accessing or using Dirbsy (the "Service"), you agree to be bound by these Terms and Conditions. If you do not agree with any part of these Terms, you must stop using the Service immediately.

Definitions

• User: a registered user who posts a task request.
• Worker: a registered user who accepts and performs tasks.
• Service Fee: the commission Dirbsy charges on each task transaction.

Service Description

Dirbsy is an online marketplace that connects Users with independent Workers. We facilitate the booking, payment and review processes but do not directly employ Workers, nor guarantee the quality of any individual Worker's work.

User Accounts & Obligations

• You must be at least 18 years old and capable of entering into a binding contract under EU law.
• You will provide accurate personal information (name, address, VAT ID if applicable), keep your account credentials confidential, and notify us of any unauthorized use.
• Task Posters agree to pay for booked tasks per the quoted price plus applicable Service Fee.
• Workers agree to deliver services in a professional, timely manner and to maintain any required licenses, insurance or permits in the EU/EEA.

Booking, Payment & Cancellation

• Booking: Task Posters submit a task request; Workers submit offers; Posters confirm one offer to form a contract.
• Payment: Posters' payment method (credit card, SEPA, etc.) is authorized at booking; funds remain in escrow and are released to the Workers upon confirmation of task completion.
• Service Fee: Dirbsy retains percentage of the gross task fee as a Service Fee.
• Cancellation:
• Users may cancel free of charge up to 24 hours before the scheduled start.
• Cancellations within 24 hours forfeit deposit of the task fee as a cancellation penalty.
• Workers may decline or reschedule only for good cause; repeated no-shows may lead to suspension.

Ratings & Reviews

• After each task, both parties may rate and review each other.
• Dirbsy may remove content that breaches our guidelines (hate speech, defamation, etc.) or violates EU law.

VAT & Invoicing

• All prices are quoted inclusive of VAT where applicable.
• Workers are responsible for issuing EU-compliant invoices and reporting income under local tax laws.

Intellectual Property

• All content on the Service (text, graphics, logos, software) is owned by Dirbsy or licensed to us.
• You may not reproduce, modify or distribute any part of the Service without our express written permission.

Data Protection & Privacy

• We process personal data in accordance with our Privacy Policy (GDPR-compliant).
• Users and Workers consent to Dirbsy's processing of their data for service delivery, payment, marketing (where consented), and fraud prevention.

Liability & Disclaimers

• Services are provided "as is." We make no warranties—express or implied—about Workers' performance or suitability.
• To the fullest extent permitted by EU law, Dirbsy's liability is limited to direct damages up to the total Service Fees you have paid in the past 12 months.
• We exclude liability for indirect, incidental or consequential losses (loss of profit, loss of business, etc.).

Indemnification

You agree to indemnify and hold harmless Dirbsy, its affiliates and their officers from any claims, damages or expenses arising from your breach of these Terms or your misuse of the Service.

Governing Law & Dispute Resolution

• These Terms are governed by the laws of the Republic of Lithuania and EU regulations, without regard to conflict-of-law rules.
• Any disputes shall be resolved by the courts of Lithuania or, for consumers, under the EU's Online Dispute Resolution (ODR) platform.

Changes to Terms

We may update these Terms at any time. We will publish the revised Effective Date at the top and, if required by EU law, notify you by email or in-app message. Continued use constitutes acceptance.

Severability

If any provision is held invalid under applicable law, the remaining provisions will continue in full force and effect.
